SnappyContract, a product by PixNom, provides service agreement creation, digital contract management, e-signatures, job tracking, and invoicing solutions tailored for U.S. home service businesses, contractors, and trade professionals. Our services include, but are not limited to:

• E-Signatures and Mobile Client Approvals
• Automated Invoicing and Payment Workflow Integration
• Customer and Job Management Tools
• Contract Templates and Licensing Clause Customization
• Analytics, Reporting, and Performance Tracking

These services are provided to both individual trade businesses and commercial clients globally.

2. Website Content

The Site contains text, images, photos, video, software, and other content (collectively, "Content") of SnappyContract or its licensors. The Site is protected by copyright, trademark, trade secret and other laws. SnappyContract hereby grants to you a limited, revocable license to access and view the Content solely for your personal, non-commercial use. You may not copy, reproduce, distribute, modify, or create derivative works from any Content without express written permission from SnappyContract.

3. Trademarks

The trademarks, logos and service marks displayed on the Site (including SnappyContract and PixNom logos) are the property of SnappyContract, PixNom, or other third parties. You are not permitted to use these marks without prior written consent from SnappyContract or PixNom.

6. Acceptable Use

You agree to use the Site only for lawful purposes. You agree not to use the Site in any way that violates applicable laws or regulations, or that is harmful, fraudulent, or offensive. 7. Compliance with Laws

You represent that, in agreeing to and performing under these Terms, you are not violating, and will not violate, any governmental laws, rules, regulations or orders applicable to your use of the Site and Services.

8. Intellectual Property

All software assets, agreement engines, templates, creative assets, strategies, reports, and deliverables produced by SnappyContract in the course of providing contract management and digital services remain the intellectual property of SnappyContract and PixNom until full payment is received. Upon payment in full, rights to client-generated documents and agreements shall transfer as agreed in the applicable service agreement.

9. Indemnity

You agree to defend, indemnify and hold harmless SnappyContract, PixNom, its employees, contractors, agents, officers and directors from and against any and all claims, damages, losses, liabilities, costs and expenses (including attorneys' fees) arising out of or related to your use of the Site or breach of these Terms.

10. Disclaimers

THE SITE AND ALL CONTENT MADE AVAILABLE BY SNAPPYCONTRACT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SNAPPYCONTRACT AND PIXNOM ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, INACCURACIES, PERSONAL INJURY OR PROPERTY DAMAGE, INTERRUPTION OF SERVICE, OR THE ILLEGAL CONDUCT OF ANY THIRD PARTY NOT UNDER OUR CONTROL.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SNAPPYCONTRACT, PIXNOM, ITS EMPLOYEES, CONTRACTORS, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS. THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER BASIS.

12. Termination and Monitoring

SnappyContract reserves the right to suspend or terminate your use of the Site if you violate these Terms or if suspension or termination is necessary to ensure compliance with applicable laws or to protect the rights, safety, privacy, security or property of SnappyContract, PixNom, its customers or third parties.

SnappyContract reserves the right to investigate any violation of these Terms or misuse of the Site and may report any activity that it suspects violates any law or regulation to appropriate law enforcement officials or regulators.

13. Electronic Communications

When you visit the Site or send emails to SnappyContract, you are communicating with us electronically and you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures and other communications that SnappyContract provides to you electronically satisfy any legal requirement that such communications be in writing.

14. Modifications

SnappyContract may modify these Terms at any time by posting a revised version on the Site. By continuing to access the Site, you agree to the latest version of these Terms.

15. Governing Law

This Agreement will be interpreted, construed and enforced in accordance with applicable laws. Any legal action or proceeding arising under or relating to this Agreement shall be brought in the courts of competent jurisdiction, and the Parties expressly consent to personal jurisdiction and venue in those courts.

16. Miscellaneous

These Terms constitute the complete and exclusive statement of the agreement between the Parties relating to the subject matter hereof. SnappyContract will not be responsible for failures to fulfill any obligations due to causes beyond its control. If any provision of these Terms is held invalid or unenforceable, the remainder of these Terms shall continue in full force and effect.
